A Comparison of the Corporate Governance Practices of Selected Textile Companies Listed on the BSE

Abstract:
This research examines the issue of corporate governance disclosure practices in the Indian corporate textile sector, which includes Arvind Limited and Siyaram Silk Limited. This research paper analyses the most recent annual reports and samples collected from the years 2023–24 and 2024–25 of companies in the textile industry sectors in order to determine the current state of corporate governance practices in India. The findings show that companies in India are currently adhering to corporate governance best practices by following the binding and non-binding guidelines published by SEBI LODR, 2015. For this purpose, the researcher has prepared the index in accordance with the obligatory and optional regulations released by SEBI in 2015 and the Companies Act 2013. Regulations 17 to 22, and 26(1) of the LODR 2015 and Section 135 of the Companies Act 2013 were chosen for this study. Corporate Governance disclosure practices of the firms evaluated in the textile industry have been compared using the Equal Interval Likert Scale Method to compare the CGDP Index Score, and Comparative analysis over two specific time intervals. For the purpose of the analysis, annual reports for the fiscal years 2023–2024 and 2024-2025 have been taken into consideration.
SEBI has a strict daily corporate governance system in place to fight fraud and scams. Nonetheless, SEBI should take even stricter steps to stop fraud of any kind and guarantee fair trading in the stock market in order to protect shareholder interests and guarantee increased transparency in corporate operations.
